Terms and Conditions of Purchase of Goods
I confirm that I have reviewed the details, condition, price, quantity, delivery method and other transaction terms of the goods. Except where permitted by law or for causes attributable to Kishun, I understand and agree that cancellation, return, exchange or refund after purchase is not available.
I agree that Kishun may use my personal information obtained in this transaction for sales, payment, billing, delivery, handover, returns, exchanges, repairs, inquiries, dispute handling, fraud prevention, identity verification, checks regarding anti-social forces, sanctions, money laundering and terrorist financing, legal compliance and internal management. I also confirm and agree that Kishun may, to the extent necessary for this transaction, provide my personal information to, or entrust its handling to, delivery companies, payment service providers, financial institutions, AML/sanctions screening providers, system providers, professional advisers and other domestic or foreign third parties, and that other handling of personal information shall be in accordance with Kishun’s Privacy Policy.
I represent and warrant that I am not an anti-social force or related party, and that I have not engaged and will not engage in fraud, bribery, corruption, money laundering, terrorist financing, sanctions violations, violations of export/import controls, or any other conduct violating applicable domestic or foreign laws. I further represent and warrant that I am not subject to asset-freezing or other economic sanctions and that this transaction is not being conducted, directly or indirectly, at the direction or request of, for the benefit of, or for the purpose of conferring any benefit on any person or entity subject to such sanctions. Where I conduct this transaction for a corporation or other entity, the same shall apply to such entity and its beneficial owners. Kishun may, as necessary, verify my identity, transaction purpose, source of funds, beneficial owner, sanctions status, final destination, end user, end use of the goods, shipping route and other necessary matters, and may refuse, suspend or terminate the transaction if I do not cooperate or if there is a risk of improper transaction or violation of applicable laws.
I confirm that I do not intend to export, re-export, carry, deliver, transfer, resell or otherwise move the goods purchased hereunder to Russia, and I agree that I will not undertake, or cause or permit any third party to undertake, any such action. With respect to destinations other than Russia, I further agree not to directly or indirectly export, re-export, carry, deliver, transfer, resell or otherwise move the goods, without any required authorization, approval or other legal procedure, to any country or region, person, entity or end user where such action is prohibited or restricted under Japanese law or any other economic sanctions, export/import controls or other laws applicable to this transaction.
I agree not to engage in, or cause or permit any third party to engage in, any transaction or arrangement, including export or re-export through a third country or purchase or transfer in the name of a third party, for the purpose of circumventing, evading or undermining applicable economic sanctions or export/import controls. I further agree not to use the goods for the development, production or use of weapons of mass destruction or conventional weapons, or for any other end use prohibited or restricted under applicable law, and not to supply, transfer or resell the goods to any person for such prohibited or restricted end use.
With respect to overseas delivery, carrying, export, re-export, import, or local use and resale, in the event that any issues arise with export/import regulations, customs duties, taxes, customs clearance, permits, prohibited goods regulations and other laws or procedures of the buyer’s country or region, the buyer shall, at the buyer’s responsibility and expense, handle such issues, except where the issues are caused by reasons attributable to Kishun. Nothing in this provision transfers to the buyer, or releases Kishun from, any legal obligation or responsibility applicable to Kishun itself.
If I breach the above, fail to reasonably cooperate with the above verification, or if Kishun reasonably determines that there is a risk of such breach, Kishun may refuse or suspend the transaction, withhold delivery of the goods, terminate the sales contract, demand the return of any goods already delivered, and take other necessary measures, and I shall reimburse Kishun for all damages incurred thereby. Any refund or other payment by Kishun to me in connection with such termination or other measures shall be made only to the extent permitted under applicable law.
The Japanese text is controlling and the English text is for reference only. In the event of any discrepancy, the Japanese text shall prevail. This document and this transaction shall be governed by the laws of Japan; provided, however, that the United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply. The Tokyo District Court shall have exclusive jurisdiction in the first instance over any dispute arising in connection with this document or this transaction.
